The terms governing use of the Cyful365 application and website.

1. Agreement to these terms
These Terms of Use (“Terms”) are a legal agreement between you (and the organisation you represent) and Cykube Ltd, a company registered in England and Wales (company number 11681033) (“we”, “us”, “our”), governing your access to and use of the Cyful365 application and related websites and services (the “Service”). By installing, accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Where the Service is obtained through the Microsoft commercial marketplace, your use is also subject to the applicable Microsoft marketplace terms; nothing in these Terms is intended to conflict with them.
2. The Service
Cyful365 is a security application that connects to your organisation’s Microsoft 365 environment to provide security insights, summaries and related reporting. The specific features available may change over time as we improve and develop the Service. We do not warrant that the Service will identify every issue or threat, and the Service is not a substitute for professional security advice or a complete security programme.
3. Licence and acceptable use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your organisation’s internal business purposes. You agree not to:
- copy, modify, distribute, sell, sublicense or create derivative works from the Service;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, models, methods or underlying workings of the Service, except to the extent this restriction is prohibited by law;
- access the Service to build a competing product, or to benchmark or replicate its functionality;
- circumvent or interfere with any security, authentication or access-control feature;
- use the Service unlawfully, or in any way that could damage, disable or impair it, or interfere with any other party’s use;
- use the Service other than in connection with a Microsoft 365 environment that you are authorised to administer.
4. Your responsibilities
You are responsible for: obtaining and maintaining the necessary rights and permissions to connect the Service to your Microsoft 365 environment; ensuring your authorised users comply with these Terms; the security of your own accounts and credentials; and acting on the Service’s output using your own judgement. You confirm that you have the authority to bind your organisation to these Terms.
5. Intellectual property
The Service, including all software, content, designs, text, graphics, methods, models and the Cyful365 name and branding, is owned by Cykube Ltd or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted to you, no rights are transferred. All output is provided for your internal use; you must not present it as though it were produced independently of the Service in a manner that misrepresents its origin.
6. Third-party services
The Service operates alongside Microsoft 365 and other third-party services. Your use of those services is governed by their own terms, and we are not responsible for them. We are not affiliated with, or endorsed by, Microsoft except as a participant in its marketplace programme.
7. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will detect or prevent all security issues.
8. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or, where the Service was provided at no charge, one hundred pounds sterling (£100).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
9. Indemnity
You agree to indemnify and hold harmless Cykube Ltd from and against any claims, losses and reasonable expenses arising out of your misuse of the Service or your breach of these Terms.
10. Suspension and termination
We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or if necessary to protect the Service or other users. You may stop using the Service at any time by uninstalling it. On termination, the rights granted to you end, and provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability and governing law) will continue to apply.
11. Changes to the Service and these Terms
We may modify the Service or these Terms from time to time. When we make material changes to these Terms, we will update the effective date above and, where appropriate, provide notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, except where mandatory local law provides otherwise.
